Signed MSS Upheld After Employer Attempted Renegotiation

At JY Ko Advocates & Solicitors, we recently successfully advised and guided an employee client in a dispute involving a Mutual Separation Scheme (“MSS”) offered by his employer company.
The matter involved a signed MSS agreement which the company later attempted to revise after execution, including proposing a substantially reduced payout and issuing threats of dismissal and revocation of the signed MSS.
Background of the Dispute
Our client was an employee of a company undergoing restructuring and workforce rationalisation exercises. Following rounds of discussions and negotiations between our client and the company, an MSS package was eventually agreed upon.
After careful consideration, our client accepted and signed the MSS offered by the company.
The MSS package represented the result of negotiations and discussions between the parties and was intended to bring finality to the employment relationship on mutually agreed terms.
However, matters took a different turn after the MSS was signed.
Company Attempted to Revise the Signed MSS
Subsequently, the company’s Human Resources department and management personnel repeatedly contacted our client and requested further meetings.
During those meetings and communications, our client was informed that the company intended to revise the MSS package despite the MSS already having been signed.
Among others:
- The company attempted to introduce a revised offer which was approximately RM200,000.00 lower than the originally signed MSS package;
- Our client was pressured to reconsider and accept the reduced amount;
- Threats of dismissal and revocation of the signed MSS were allegedly raised during discussions.
This naturally caused significant concern and uncertainty to our client.
Our Advice and Guidance
Upon being consulted, we carefully reviewed the chronology of events, the communications exchanged, and the signed MSS documentation.
We advised and guided our client on:
- His legal position arising from the signed MSS;
- The importance of maintaining a consistent position;
- The implications of further negotiations after execution of the MSS;
- The risks and strategic considerations involved in responding to the company’s demands and threats.
Our client was advised to remain firm on the agreed terms contained in the signed MSS and to avoid being pressured into accepting unilateral revisions that were unfavourable to him.
Company Eventually Relented
Following meetings, consultations, and strategic guidance, our client maintained his position and insisted that the company honour the MSS that had already been agreed and signed.
Eventually, the company relented and decided to abide by the terms of the signed MSS instead of enforcing the proposed reduction.
The matter was ultimately resolved in favour of our client’s position.
