Renovation Dispute in Mall Successfully Resolved in Favour of Client

Renovation disputes are a common feature in the construction and interior fit-out industry in Malaysia, particularly where commercial units are involved. Disagreements often arise due to variations in scope, undisclosed site conditions, and expectations on workmanship. This article recapitulates a recent successful resolution handled by us, JY Ko Advocates & Solicitors involving a contractor-client and a debtor in relation to renovation works at a mall unit in Klang.

Background of the Dispute

Our client, a contractor, was engaged to carry out extensive renovation works for a commercial unit located within a shopping mall in Klang. The agreed scope of work was based on initial discussions, site inspection, and representations made by the debtor prior to the issuance of the quotation.

However, during the course of the renovation works, our client encountered significant concealed structural elements that were not disclosed earlier. These hidden conditions materially affected the execution of the agreed renovation plan. As a result:

  • Certain works could not be carried out strictly in accordance with the original plan;
  • Additional adjustments and modifications became necessary;
  • Time and cost implications arose beyond the initial expectations.

Despite these challenges, our client proceeded to complete substantial portions of the renovation works.

Legal Issues Arising from the Dispute

The dispute between the parties centered around several key legal and factual issues (which we identify):

1. Non-disclosure of Material Facts

One of the central issues was whether the debtor had failed to disclose material information relating to the unit’s concealed structural conditions. Under Malaysian contract law principles, non-disclosure of critical facts—especially those affecting performance—can significantly impact the rights and obligations of the parties.

In this case, the concealed structures were not reasonably discoverable during a standard pre-quotation inspection, placing our client at a disadvantage.

2. Deviation from Agreed Scope of Work

The debtor alleged that our client’s works were not in accordance with the agreed plan. However, it was crucial to establish that:

  • The deviation was not due to negligence or poor workmanship;
  • The deviation was necessitated by unforeseen structural conditions;
  • The original plan could not be implemented without modification.

This raised issues relating to variation of works and whether such variations were justified under the circumstances.

3. Entitlement to Payment

Despite completing substantial renovation works, our client faced resistance from the debtor in receiving full payment. The dispute therefore also involved:

  • Whether the contractor had substantially performed the contract;
  • Whether the debtor was entitled to withhold payment;
  • Whether there was unjust enrichment on the part of the debtor.

Strategic Approach by Us – JY Ko Advocates & Solicitors

1. Case Assessment and Positioning

We conducted a detailed review of all relevant documents, including:

  • Quotation and scope of work;
  • Correspondence between parties;
  • Evidence of site conditions and concealed structures;
  • Progress and completion of renovation works.

Based on this, we established a strong legal position that:

  • The contractor had acted reasonably and professionally;
  • The deviations were justified due to undisclosed conditions;
  • Payment was rightfully due for work done.

2. Negotiation Strategy

Rather than proceeding directly to litigation, we strategically engaged the debtor via their solicitors with a view toward achieving a commercially sensible outcome. This included:

  • Clearly articulating our client’s legal position;
  • Highlighting the risks and costs of litigation;
  • Demonstrating readiness to commence legal proceedings if necessary.

This approach placed pressure on the debtor to resolve the matter amicably.

Successful Settlement Achieved

On 3 April 2026, the matter was successfully resolved through a settlement lasting three (3) months. The debtor via their laywers had agreed to pay, and has paid, a settlement sum of RM18,000.00 to our client.

This outcome reflects:

  • Recognition of our client’s entitlement to payment;
  • A practical resolution without prolonged litigation;
  • Cost and time savings for our client.

Importance of Proper Documentation in Renovation Projects

This dispute underscores the importance of proper documentation and risk management in renovation and construction projects:

For Contractors

  • Conduct thorough site inspections where possible;
  • Clearly document assumptions in quotations;
  • Include clauses addressing unforeseen conditions and variations;
  • Maintain detailed records of works and communications.

For Property Owners / Employers

  • Disclose all known structural conditions;
  • Ensure clarity in scope of work and expectations;
  • Avoid withholding payment without valid legal basis.
